Objectives:
· Protect BASF Group’s legal interests and provide legal advice on daily operation matters and ensure legal compliance within BASF Group.
Main Tasks:
· Providing legal advice to BASF group companies and business units in China on daily operation, including: reviewing, drafting and negotiating contracts and other legal documents on daily operation; and advising on compliance and regulatory issues; and advising general managers and company secretary on meetings and company secretarial issues;
· Advising and negotiating China investment projects, including: merger and acquisition (M&A) activities, including conducting legal due diligence and negotiating and drafting contracts, drafting M&A approval documents and negotiating with authorities, locally implementing of global M&A activities; handling JV & WOFE establishment or restructuring;
· Advising new laws and legal environment concerning the BASF Group's business strategy, business model modifications and new business opportunities;
· Providing legal training, e.g. antitrust training, contract law training as well as compliance program training; and
· Providing legal and administrative support to Senior Legal Manager, BASF China and collaborating with other legal counsels in China and other regions. Requirements:
· Bachelor degree or above in Chinese law; overseas legal study is preferred;
· At least 7 years working experience in law firms and/or multinational companies' legal department, and related experience in chemical/manufacturing industry is a plus;
· Excellent English and Chinese in both writing and speaking;
· Team player, but working independently with focus on result and achievement;
· Pleasant and highly responsible work attitude; and
· Strong communication and conflicting-handling skills.
