We are currently seeking an experienced individual to join this team in the role of Governance Administrator .

The Corporate Governance & Secretariat function (CG&S) serves as principal advisor to boards of directors on corporate governance matters, and leads and implements a world-class corporate governance practice throughout the Group with the provision of end-to-end corporate governance advice. The CG&S function consists of c.240 FTE across 25 countries. It is led globally by the Group Company Secretary & Chief Governance Officer who reports directly to the Group Chairman.

The role holder as part of the CG&S team will drive the Function's 5 priorities:

1. Protecting the Bank

2. Connecting the Bank

3. Supporting the delivery of strategy

4. Drive informed decision making, and do all this whilst

5. Simplifying Governance

Reporting to the Head of Governance (Remuneration and HR), the Governance Administrator is responsible for supporting the team's provision of world class corporate governance and secretarial services to the Holdings Board, its Committees and executive committees as required, enabling the effective operation of their Boards and Committees.

The role holder will support the Board Advisory team on all governance activities, including, but not limited to:

Delivering world class governance support;

·
Supporting the preparation of Board and Committee papers as required:

·
Researching, analyzing and reporting on matters as required;

·
Filings with Companies House in relation to HSBC Holdings plc;

·
Supporting planning of Group Remuneration Committee (‘Group RemCo') and Group Executive Committee meetings;

·
Drafting of agendas as directed;

·
Supporting research and drafting of RemCo, GEC and Board papers;

·
Managing NEDs fee payments;

·
Maintaining director information on Englobe and other systems as required;

·
Facilitating document execution for HSBC Holdings plc;

·
Supporting the drafting of board and committee disclosures in the Annual Report and Accounts;

·
Supporting on GEC as required, including agendas, paper collation and distribution, follow up actions;

·
Supporting Board, RemCo and Nom&Gov Co paper collation and distribution;

·
Engaging with stakeholders in the Functions and across the Businesses as required;

·
Reviewing, and ensuring compliance with, best practice governance procedures for the team's areas of activity;

·
Managing data for HSBC Holdings plc data on Englobe;

·
Maintaining evidence books in relation to the individual accountabilities of relevant members of the Holdings Board, as applicable;

·
Submission of board and committee papers to regulators;

·
Supporting ad hoc projects as required;

·
Cover for other members of CG&S during their absence or otherwise, as required, to be responsive to requirements as they arise;

·
Engaging with stakeholders in the Functions and across the Businesses as required;

·
Being a role model of the HSBC values and business principles;

·
Benchmarking against peers and other listed companies' as required; and

·
Verifying compliance with FRC Guidelines, the UK Corporate Governance Code, the HK Governance Code, the Companies Acts of the UK and HK and the listing requirements of the UK, HK and NYSE as applicable.

Qualifications :

In addition, the individual will:

Contribute to CG&S projects and tasks;

Contribute to corporate transactions, regulatory projects and regulatory submissions;

· 
Manage a wide range of relationships with key internal stakeholders;

· 
Consider effective ways of driving improvement and modernisation; and

· 
Track and act upon changes in relevant legislation and regulation.

To be successful in this role you should meet the following requirements:

· 
Graduate with relevant degree.

· 
Good understanding of global financial organisations.

· 
Financial services / UK regulatory knowledge is desirable but not essential.

· 
Understanding of corporate governance principles.

· 
Lateral thinking/problem solving/creativity.

· 
Excellent analysis, design and problem solving skills.

· 
Strong inter-personal, organisational, process management and verbal/ written skills.

· 
Confidence to work well with all levels of management, handle confidential and sensitive information, work independently and under pressure and handle multiple tasks.

· 
Creative thinker, with desire to innovate and optimise tasks and processes through the use of technology.

· 
Ability to look at the bigger picture as well as have a keen eye for detail.

Base location for this role is 8 Canada Square, London
