Role Title: Associate, Group Mergers and Acquisitions

Role Purpose

· The Strategy Group Mergers and Acquisitions (M&A) team plays an integral role in the leadership, management, identification, oversight and execution of all transaction activity including acquisitions, disposals and joint ventures pursued by HSBC on a global basis and across all business lines.
· Group M&A Associates provide execution, quantitative and analytical support for acquisitions and disposals across all transaction scenarios including the identification of possible transactions and appropriate structuring thereof.
· Associates assist project executions, prepare valuation analysis, financial models and presentations and conduct industry research and analysis. Associates also develop and cultivate internal relationships. They will develop their skills by working closely with senior team leaders and line managers within the businesses and will obtain broad exposure to a wide array of transactions.

Key Accountabilities

Impact on the Business/Function

· Be capable of contributing to the origination and execution of all transactions under the close management of seniors in the Group M&A team.
· Be capable of supporting deal negotiations and providing the requisite analysis to do so.
· Develop and prepare qualitative and quantitative analysis in line with the financial evaluation work already performed by the Group M&A team.
· Be able to produce key valuation metrics including the performance of EPS accretion / dilution analyses.
· Contribute to the development of business cases for all transactions together with providing the supporting rationale.
· Be capable of building complex financial valuation models, including capital structure modelling to the standards required for Group transactions.
· Be capable of supporting the due diligence process for transactions in coordination with the Global Transactions Team and work directly with internal teams as well as external advisors including investment banks, strategy consultants and legal and financial advisors.
· Participate in the development of post-merger integration plans for small and medium sized transactions.

Customers / Stakeholders

· Assist the M&A team's management to develop and execute the Group's strategic and corporate finance / M&A objectives.
· Prepare drafts of confidential memorandums and management presentations for senior management, including the Group Management Board using standard paper formats e.g. Investment proposals, GSM proposals, Group Risk Committee papers etc. Perform research and analysis of potential market opportunities across geographies and business lines.
· Present strategic alternatives, including M&A analysis, across a wide variety of situations.

Leadership & Teamwork

· Support / partner with senior team members to assist in the development of ideas for potential acquisitions or disposals to further reinforce the Group's stated strategic objectives.
· Manage Analysts' involvement on work projects.
· Participate proactively in the training and development of Analysts.

Operational Effectiveness & Control

· Proactively support when requested the regular reporting such as the A&D report and non-core business report.
· Undertake all required activities as directed by Managing Directors or as agreed in annual objectives in support of the activities of the Group M&A team and the wider Group Strategy team and in accordance with the Group M&A desk procedures manual.
· Understand and ensure compliance with all relevant internal and external rules, regulations and procedures and above all the CONFIDENTIAL NATURE OF TRANSACTIONS.

Major Challenges

· Prepare business case reports, presentations and proposals for the senior members within the Group M&A team often within tight time schedules, conduct thorough research and complex data analysis via both creative and conventional means, and work with other internal and external parties on structuring and executing transactions. The jobholder enjoys full creative and intellectual flexibility and is expected to take initiatives in delivering the end product.
· Must be able to communicate clearly with the other members in the team on the type of analysis and data presentation required and to present them professionally in a way that reinforces HSBC values as they are to be presented both internally and externally. He/She has to deal with other executives within the Group and external customers and thus requiring clear, concise manner both written and verbally and a confident and mature approach.

Observation of Internal Controls

· Maintain and observe HSBC internal control standards, implement and observe Group Compliance Policy, including the timely implementation of recommendations made by internal/external auditors and external regulators. Foster a compliance culture and implement Group Compliance Policy by managing compliance risk in liaison with the Head of Group Regulatory Compliance, Regional Regulatory Compliance Officer, or Local Regulatory Compliance Officer, ensuring adequate compliance resources are in place and training is provided, and optimising relations with regulators.

Management Risk

· Demonstrate leadership on managing operational risk including its identification, assessment, mitigation and control, loss identification and reporting in accordance with section B.1 Operational Risk of the Global Risk FIM. Maintain awareness of operational risk and minimise the likelihood of it occurring.

Desired profile



Qualifications :

·  A financial institution / investment banking / consulting / equity research / HSBC commercial banking background
·  Strong presentation and English skills
·  Ability to write concise and clear papers to senior management focusing on key issues
·  Extremely strong experience of financial modelling, valuation, and execution
·  Experience of bank capital rules and accounting issues applying to M&A
·  Strong quantitative and qualitative analytical skills
·  Proficiency in Microsoft Office applications in particular word, excel and powerpoint
·  Exceptional academic credentials
·  Proficiency in use of Bloomberg, Reuters and ideally FactSet
·  A strong team player who is able to work independently and meet tight deadlines under pressure
·  Willing to travel as and when required possibly for prolonged periods of time
