Job description



The Firm has a number of boards and committees (with more planned) which are responsible for various corporate governance matters including :

· 
General and operational management;

· 
Quality;

· 
Risk matters;

· 
Code of Conduct; and

· 
Supporting the work of the Independent Non Executives.

With the expansion of the board and committee work, there is an exciting new opportunity for an individual to assist the Company Secretary and Deputy Company Secretary with the corporate governance responsibilities associated with these bodies. In addition, the individual will undertake the regular company secretarial matters to be complied with by the Firm’s UK entities

Your key responsibilities

·  The individual will act as an Assistant Company Secretary, supporting the Company Secretary and Deputy Company Secretary’s board and committee work, and regular company secretarial work.  
·  The boards and committees are an important part of our corporate governance processes and, as such, the role requires an experienced Company Secretary whose responsibilities will include:  
·  Organising meetings, developing and issuing agendas, and coordinating the production of supporting papers;
·  Minuting board meetings;
·  Working with senior partners to produce and track progress against action points; and
·  Acting as a point of contact on matters relating to the organisation of the boards and committees. 
·  Additional regular company secretarial responsibilities will include:
·  Completing annual Companies House and other audit firm specific filings/publications;
·  Maintenance of UK entity details and registers on Diligent Entities; 
·  Undertaking ad-hoc company secretarial matters (including: changes of partners and directors; payment of dividends; entity closures; powers of attorney etc) and responding to requests from the business;

  Skills and attributes for success

 

·  An experienced company secretary (either qualified, or working towards their ICSA qualification) with multiple year experience in a sophisticated business environment;
·  An understanding of corporate governance;

 

 

To qualify for the role you must have

·  Experience of a corporate database (ideally Diligent Entities);
·  Strong personal communication skills, capable of dealing with a wide range of senior people;

 

Ideally, you’ll also be

·  Effective planning and organising skills to prioritise key areas of responsibility, tasks and projects;
·  Strong team player who is both committed and flexible; and
·  Proven ability to establish and maintain a high degree of confidentiality, respect, trust and credibility at all levels.
