Job Title: Global Legal Network (GLN) – Acquisitions, Ecosystems and Corporate Advisory (AEC), Specialist for Ecosystems Support – Global Sourcing

Career Level: Level 9 – Specialist

Skill Track: Draft, analyze and negotiate multi-client and/or internal use vendor agreements and related documents.

Specialty: Contract drafting, review and negotiation.

Job Summary:

The person should be able to:

· Support Accenture's purchases for internal use in North America and for global Accenture's use.
· Collaborate with Legal Colleagues on Accenture's purchases for multi-client deals.
· Review and negotiate different types of agreements or legal/commercial documents in accordance with company policies and procedures, applicable laws, and stakeholders' requirements
· Collaborate with other colleagues, coordinators, stakeholders and leadership.

Key Responsibilities

· Independently draft, review and negotiate medium/high complexity and medium/high value agreements and documents to be signed with vendors for Accenture's internal use purchases, including: amendments and renewals, Assignment/Novation agreements, proposals, termination agreements, , Evaluation agreements, Master Reseller Agreements, Professional Services agreements, Discount agreements, Airline services agreements, Construction Services agreements, Recruiting Services agreements, Master Subcontractor Services agreements, Audit services agreements, Software License agreements, Cloud Services agreements, Hardware agreements, Co-location services agreements, HR Technology agreements, Advertising Agency agreements, Data Purchase agreements, Social Media Platform terms, Demonstration agreements and Proof of Concept agreements, Telecommunications agreements and other IT related agreements.
· Collaborate with and support Global Sourcing Legal Colleagues on the review and negotiation of purchasing agreements and documents for multi-client's use supporting Accenture's Technology, Operations and Strategy and Consulting services, such as: Data Purchase Agreements, Data Purchase orders, Cloud Services agreements, Demonstration agreements, Proof of Concept agreements, and Software License agreements and other IT related agreements.
· Support Ventures and Acquisitions structure with review of Transition onto Accenture agreements after acquisitions cutover.
· Perform contract summary of executed agreements and guides for purchasing from specific vendors. Provide information and contract interpretation as requested in support to disputes.
· Independently handle the communication with internal clients, business/stakeholders, procurement and vendors on various legal issues relating to products and/or services that Accenture intends to buy;
· Maintain contract compliance in line with company policies and procedures and ensure issues are identified and resolved;
· Require approvals when needed - in particular, ensuring that all stakeholders are fully informed and engaged on a timely basis with the process and associated responsibilities.
· Perform research of laws and regulations or technical aspects applicable to assigned requests, consulting as necessary.
· Comply with team's internal escalation and queries processes.
· Ability to introduce and suggest process measures for ad-hoc and new service lines;
· Assist with training of new team members and support Levels 11 and 10 as a point of contact for questions.
· May assign requests to other team members, as needed. Relationships :

Contract Associate Manager (Level 8) or above

· Quality Review:

Provide quality review for team members at Level 10 or below or to New Joiners as required.

· External Relationships:

Accenture Global Sourcing Legal Colleagues, Accenture Procurement team, Accenture Business teams, SMEs teams (Data Privacy, Information Security, Taxes, etc.) and Vendors.

Qualifications :

Education:

·  Bachelor's degree in Law.
Work Experience:
·  Preferably 6 years' + of experience at law firm and/or as in-house counsel, with a minimum of 3+ years in agreements review/negotiation.
Any exceptions to the above shall be discussed with the GLN Lead.

Knowledge and Skill Requirements
·  Knowledge of Global Sourcing processes, general corporate business practices, commercial contracting standards, Information Security standards and Data Privacy principles;
·  Ability to effectively communicate with colleagues, stakeholders and executives at all levels of the organization;
·  Demonstrate strong negotiation skills in emails and on-call communications with third parties, providing adequate justifications for Accenture's position.
·  Demonstrates strong knowledge and experience on the scope of agreements reviewed;
·  Good time-management, prioritization, organizational and analytical skills;
·  Demonstrates ability to consistently undertake contract review, drafting and negotiation without external inputs;
·  Displays a high level of responsiveness and follows through on commitments;
·  Detail-oriented, sound judgement, organized and flexible;
·  Effectively work as part of a team, maintaining a professional attitude and collaborating with team members and team leads on assigned tasks.
·  Demonstrates ability to utilize available training materials to develop general knowledge.
·  Demonstrates proficiency in Microsoft Excel, PowerPoint and Microsoft Word skills.
